Terms of Service

These terms govern your use of the Panopteia website and, where applicable, the Panopteia platform. We have written them to be read by a person, not parsed by a lawyer. If something is unclear, write to us and we will explain it.

Acceptance of these terms

By accessing panopteia.com or any Panopteia-operated interface, you agree to these Terms of Service. If you are accessing the platform on behalf of an institution, you represent that you have authority to bind that institution, and "you" in these terms refers to both you individually and the institution.

If you do not agree to these terms, do not use our services.

Institutional platform access is governed by a separate Master Services Agreement and Data Processing Agreement. In the event of a conflict between those agreements and these terms, the MSA takes precedence for platform use, and these terms govern your use of this website.

The services

Panopteia provides continuity infrastructure for institutions — including identity continuity, adaptive support, and coordination software — and consumer products including Panopteia Life. The specific services available to you depend on whether you are accessing this website as a visitor, an authorized institutional user, or a Panopteia Life subscriber.

We reserve the right to modify, suspend, or discontinue any service, with reasonable notice where practicable. Planned deprecations affecting institutional customers will be communicated at least 90 days in advance unless a security issue requires faster action.

Accounts

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly via the contact form if you believe your account has been compromised.

Accounts may not be transferred or shared. Institutional administrators are responsible for promptly removing access when an authorized user departs.

Permitted use

You may use our services to:

  • Access and use features available to your account tier.
  • Submit content and data as part of normal platform operation.
  • Evaluate the platform under a signed trial agreement.
  • Read and share content from this website for non-commercial informational purposes, subject to the intellectual property terms below.

Prohibited conduct

You may not:

  • Access or attempt to access systems or data you are not authorized to use.
  • Use automated tools to scrape, crawl, or systematically download content from this website or the platform without our written consent.
  • Reverse engineer, decompile, or disassemble any part of the platform software.
  • Use the platform to process data categories beyond those specified in your DPA.
  • Resell, sublicense, or otherwise provide platform access to third parties without a signed reseller agreement.
  • Introduce malware, interfere with service integrity, or attempt to test security controls without a signed penetration-testing authorization.
  • Use the services in any way that violates applicable law, including healthcare data regulations, export controls, or sanctions.

Intellectual property

Our content

Research papers, whitepapers, Trust & Continuity Reports, and other materials published on this site are released under Creative Commons CC BY 4.0 unless otherwise marked. You may share and adapt them with attribution.

Platform software, authorization models, brand assets (including the Panopteia name and logo), and all proprietary methodologies are owned by Panopteia, Inc. No license to these is granted by these terms.

Your content

You retain ownership of data and content you submit through the platform. By submitting content, you grant Panopteia a limited license to process it as necessary to provide the services. We do not acquire any broader ownership over your data.

Data

Our collection and use of personal data is described in our Privacy Policy. Institutional data processing is governed by the applicable Data Processing Agreement. Subject-access rights are described in our Trust Framework.

We do not use your data to train machine-learning models without explicit, time-bounded institutional consent. This commitment is recorded in the Trust & Governance Council charter and reported in the quarterly Trust & Continuity Report.

Service levels

Panopteia targets 99.5% platform availability measured monthly, excluding scheduled maintenance. Our actual uptime is published in the quarterly Trust & Continuity Report.

Service credits for availability shortfalls are available to institutional customers under the terms of their MSA. This website is provided as-is, without uptime guarantees.

Disclaimers

Panopteia provides its services "as is" and "as available." While we work hard to maintain accuracy and reliability, we make no warranty, express or implied, that the services will be error-free, uninterrupted, or fit for any particular purpose beyond what is specified in an applicable MSA.

Content on this website — including research summaries, product descriptions, and press releases — is provided for informational purposes and does not constitute professional medical, legal, or regulatory advice.

Limitation of liability

To the maximum extent permitted by law, Panopteia's liability to you for any claim arising from these terms or your use of the services is limited to the amount you paid to Panopteia in the 12 months preceding the claim, or $100, whichever is greater.

Panopteia is not liable for indirect, incidental, special, consequential, or punitive damages, including lost data, lost revenue, or loss of goodwill, arising from your use of or inability to use the services — even if we have been advised of the possibility of such damages.

Some jurisdictions do not permit the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

Termination

You may stop using our services at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if we discontinue the relevant service. We will give you reasonable notice unless immediate action is required for security or legal reasons.

On termination of an institutional agreement, we will make your data available for export for 60 days before deletion, in accordance with the applicable DPA.

Disputes and governing law

We would rather resolve disputes by talking. Before initiating formal proceedings, reach out via the contact form and give us 30 days to work toward a resolution.

If a dispute cannot be resolved informally, it will be submitted to binding arbitration under applicable rules, except that either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or data-security emergencies.

If you are an individual exercising a statutory data-subject right, your local jurisdiction applies and you retain the right to bring a complaint before your local data protection authority.

Changes to these terms

We will post material changes at least 30 days before they take effect, with a notice on this page and an entry in the public incident log. Continued use of the services after the effective date constitutes acceptance. Non-material clarifications take effect immediately.
